Proprietorship to LLP: Form an LLP and Transfer the Business

The LLP Act, 2008 allows conversion only from a firm, a private company or an unlisted public company (Sections 55 to 57), so a proprietorship cannot convert directly. The proprietor forms a new LLP with at least one more partner, since Section 6 requires two, and transfers the business to it. We incorporate the LLP online through Form FiLLiP and prepare the business transfer agreement.
